Key responsibilities include:

  • Providing expert advice and support to the Chair, Chief Executive and the Trust Board, on matters relating to statutory and legislative compliance and interpretation.
  • Ensure that the Trust Board and its Committees are properly constituted, operated and supported, according to Standing Orders and the regulatory framework.
  • Ensuring appropriate procedures were in place for the sound corporate governance of the Trust and advise the Board of developments.
  • Notifying Board members of their responsibilities and provide assurance that internal arrangements are in place to ensure that all statutory duties are adequately discharged.
  • Ensuring standing orders and a schedule of matters reserved for the Trust Board are in place, acted upon and reviewed as necessary and, with the Director of Finance and Performance Management, ensure standing financial instructions and schemes of delegation are similarly in place, updated and properly discharged.
  • Managing the interface between the management and corporate governance arrangements of the Trust and take every opportunity to ensure a high standard of reporting and debate.
  • Providing authoritative advice to the Chair, Chief Executive and Trust Board on legal, constitutional matters, correct and proper conduct of business and meetings.
